General

These Terms of Use ("Terms") govern your use of the Coopportunity Cleaning website www.coopportunity.coop, mobile application, and any content (such as text, data, information, software, graphics or photographs) that Unión Sunset Park Cleaning LCA, a Colorado limited cooperative association (the "Cooperative", "we," "our") may make available through the Cooperative's ownership and operation of the Coopportunity Cleaning website or mobile application (collectively, "Materials") and any services provided through the website or mobile application (collectively, "Services"). The Coopportunity Cleaning website www.coopportunity.coop, mobile application, Materials, and Services are referred to in these terms collectively as the "Coopportunity Cleaning Platform." By accessing the mobile application, browsing or using this website, and/or using any Services provided, you agree to comply with these Terms.

Please review these "Terms" carefully before using the Coopportunity Cleaning Platform and/or any Services. By accessing, browsing or using the Coopportunity Cleaning Platform, you fully acknowledge that you have read, understood and agree to abide by these Terms and comply with all applicable laws and regulations. If you do not agree to these Terms, you are not authorized to access or use the Coopportunity Cleaning Platform.

The Coopportunity Cleaning Platform is offered and available to users who are 18 years of age or older and reside in the United States or any of its territories or possessions. By using The Coopportunity Cleaning Platform, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Coopportunity Cleaning Platform.

Description of Services

Consumers use the Coopportunity Cleaning Platform to hire the Cooperative to perform residential and commercial cleanings. Through the Coopportunity Cleaning Platform Platform, the Cooperative also facilitates payment via credit card or debit card and scheduling.

Use of Coopportunity Cleaning Platform

You agree that you will not use any false, inaccurate or misleading information when registering to use the Coopportunity Cleaning Platform and promise that the information you provide to the Cooperative is true, complete and accurate. You are responsible for all account activity. The Cooperative may deny you access if your account is out of compliance with these Terms or any other regulatory requirements. You may not use the Coopportunity Cleaning Platform for any purpose that: (a) is unlawful or prohibited by these Terms, (b) solicits the performance of any illegal activity or other activity which infringes the rights of the Cooperative or others, (c) includes defamatory, obscene, infringing or other unlawful material or information, (d) would allow participants or third parties to harm other users' computers or to inappropriately access data, software or websites, (e) to interfere or attempt to interfere with the proper working of the Coopportunity Cleaning Platform, any transaction being conducted on or through the Coopportunity Cleaning Platform, or with any other person's use of the Coopportunity Cleaning Platform, or (f) attempts to gain unauthorized access to any portion or feature of the Coopportunity Cleaning Platform, any other systems or networks connected to the Coopportunity Cleaning Platform or to any server of the Coopportunity Cleaning Platform, or any of the services offered on or through, by hacking, password "mining" or any other illegitimate means. Additionally, you agree not to: (1) use the Coopportunity Cleaning Platform in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Coopportunity Cleaning Platform; (2) use any device, software, or routine that interferes with the proper working of the Coopportunity Cleaning Platform; (3) introduce any viruses or other material that is malicious or technologically harmful; (4) contribute content that contains software or other material protected by intellectual property laws, rights of privacy or publicity, or any other applicable law unless you own or have applicable rights to these materials; (5) otherwise attempt to interfere with the proper working of the Coopportunity Cleaning Platform.

Accessing the Website and Account Security

We reserve the right to withdraw or amend the Coopportunity Cleaning Platform, and any service or material we provide on the Coopportunity Cleaning Platform, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Coopportunity Cleaning Platform or the entire Coopportunity Cleaning Platform.

You are responsible for both: (i) making all arrangements necessary for you to have access to the Coopportunity Cleaning Platform; and (ii) ensuring that all persons who access the Coopportunity Cleaning Platform through your internet connection are aware of these Terms and comply with them.

To access the Coopportunity Cleaning Platform or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Coopportunity Cleaning Platform that all the information you provide on the Coopportunity Cleaning Platform is correct, current, and complete. You agree that all information you provide to register with this Coopportunity Cleaning Platform or otherwise, including, but not limited to, through the use of any interactive features on the Coopportunity Cleaning Platform, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to Coopportunity Cleaning Platform or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time if, in our opinion, you have violated any provision of these Terms of Use.

Data Sharing Notice

By using the Coopportunity Cleaning Platform and accessing Services, you agree to the following: (a) you acknowledge that your name, email address and other contact details will be displayed and visible to the Cooperative on the Coopportunity Cleaning Platform; and (b) you have supplied this information to the Cooperative as a potential consumer of Services offered or in connection with the Coopportunity Cleaning Platform. You acknowledge that the Cooperative will process such information in connection with the Coopportunity Cleaning Platform. You will remain responsible for ensuring that the information you place into or otherwise provide in or through the Coopportunity Cleaning Platform is collected and transferred to the Cooperative in accordance with applicable laws.

Risk of Unintended Access to Your Data

It is very important that you carefully follow the instructions provided for the Coopportunity Cleaning Platform and review your settings and permissions. You understand and agree that if you allow access to your account by someone you did not intend or fail to follow the instructions, you could cause your information (possibly including information you wish to remain confidential) to be disclosed to unintended third parties.

Data contained in, and provided by, the Coopportunity Cleaning Platform has been sourced from various internal and external sources. While care has been used to ensure accuracy, it is possible that errors may exist.

Member Account, Password and Security

You will receive a password and account designation upon completing the Coopportunity Cleaning Platform registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account, including as a result of your failure to keep this information secure and confidential. You will (a) immediately notify the Cooperative of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you fully exit from your account at the end of each session. The Cooperative cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

Beta Features

We may make certain features or functionality within or via the Coopportunity Cleaning Platform available to you on a beta basis. If you use these beta features or functions, you may only use them for evaluation purposes and for the period that we specify. We provide these beta features and functions on an "AS-IS" basis. Any beta features or functionality made available to you for evaluation do not constitute an implied commitment to offer to you or anyone such features and functionality as part of the Coopportunity Cleaning Platform on a generally available basis.

Purchasing Services on the Coopportunity Cleaning Platform

By making any purchases through the Coopportunity Cleaning Platform, you agree to comply with the following terms.

All prices displayed on the Coopportunity Cleaning Platform are in U.S. dollars and are subject to change at any time without notice. You agree to pay all charges incurred by your account, including applicable taxes, at the prices in effect when the charges are incurred. Payment must be made using a valid credit or debit card, and you authorize the Cooperative (and any designated third-party payment processors) to charge your designated payment method for any purchases made on the Coopportunity Cleaning Platform.

To use the services available through the Coopportunity Cleaning Platform, you are required to register a valid credit or debit card as your payment method. Any payment method information is securely processed and stored by Stripe, a third-party payment processor integrated with the Coopportunity Cleaning Platform ("Stripe"). The Cooperative does not store payment method information on its own servers and does not have access to any clients' full payment details.

Prior to each scheduled cleaning appointment, Stripe will perform a validation check to confirm that the registered payment method is active and capable of being charged. This is a precautionary measure to ensure that payment can be processed upon completion of the service.

If a payment method fails this validation, the Cooperative will notify you in advance of the scheduled service. In such cases, you must update your payment method by adding a valid card to the platform before the cleaning appointment. Failure to do so may result in the cancellation of the scheduled appointment, and cancellation fees may apply in accordance with the Cooperative's cancellation policy.

Upon successful completion of the cleaning service, your registered payment method will be charged for the total service cost. This amount includes:

• The agreed-upon service fee paid to the cleaning professional,
• The Cooperative's platform fee,
• Stripe's payment processing fee, and
• Any applicable sales tax.

The Cooperative reserves the right to refuse or cancel any order for any reason, including insufficient stock, inaccuracies, or errors in product or pricing information. If your order is canceled after your payment is processed, we will issue a refund to your original payment method.

Availability of products and services on the Coopportunity Cleaning Platform is not guaranteed. The Cooperative reserves the right to modify or discontinue any product or service at any time without notice.

You are responsible for maintaining the confidentiality of your account information, including your username and password, and for all activities that occur under your account. You agree to notify the Cooperative immediately of any unauthorized use of your account or any other breach of security.

Ownership of Coopportunity Cleaning Platform Platform

The Cooperative, and its licensors (if any), own and retain all right, title and interest in and to the Coopportunity Cleaning Platform, including all improvements, enhancements, modifications and derivative works thereof, and all Intellectual Property Rights therein. This includes any information that the Cooperative collects and analyzes in connection with the Coopportunity Cleaning Platform, such as usage patterns, user feedback and other information to improve and evolve our products and services offerings. Your rights to use the Coopportunity Cleaning Platform are limited to those expressly granted in these Terms. No other rights with respect to the Coopportunity Cleaning Platform or any related Intellectual Property Rights are implied. For purposes of these Terms, "Intellectual Property Rights" means all worldwide intellectual property rights, including, without limitation, copyrights, trademarks, service marks, trade secrets, patents, patent applications, and moral rights, whether registered or unregistered.

These Terms permit you to use the Coopportunity Cleaning Platform for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Coopportunity Cleaning Platform. If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Coopportunity Cleaning Platform in breach of the Terms of Use, your right to use the Coopportunity Cleaning Platform will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Coopportunity Cleaning Platform or any content on the Coopportunity Cleaning Platform is transferred to you, and all rights not expressly granted are reserved by the Cooperative. Any use of the Coopportunity Cleaning Platform not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

The Coopportunity Cleaning Platform may incorporate, include, or utilize open-source software components that are subject to their respective open-source licenses. By using the Coopportunity Cleaning Platform, you acknowledge and agree to the following (i) the use of open-source software within the Coopportunity Cleaning Platform is governed by the terms and conditions of the applicable open-source licenses, which may impose obligations and restrictions on the use, modification, and distribution of the open-source components; (ii) open-source software components are provided "as is" without any warranties or conditions of any kind, either express or implied, including, without limitation, any implied warranties or conditions of title, non-infringement, merchantability, or fitness for a particular purpose; (iii) the Cooperative is not responsible for any issues or liabilities arising from your use of the open-source software components beyond what is permitted by the applicable licenses and (iv) by accessing and using the Coopportunity Cleaning Platform, you agree to comply with the terms of the open-source licenses and acknowledge that the Cooperative disclaims any and all liability related to the open-source software components.

Information About You and Your Visits to the Coopportunity Cleaning Platform

All information we collect on the Coopportunity Cleaning Platform is subject to our Privacy Policy. By using the Coopportunity Cleaning Platform, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

Geographic Restrictions

We provide this Website for use only by persons located in the United States. We make no claims that the Website or any of its content is accessible or appropriate outside of the United States. Access to the Website may not be legal by certain persons or in certain countries. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

Disclaimers and Warranties

Information on or available through the Coopportunity Cleaning Platform is not promised or guaranteed to be correct, current or complete, and the Coopportunity Cleaning Platform may contain technical inaccuracies, outdated information and/or typographical errors. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Coopportunity Cleaning Platform, or by anyone who may be informed of any of its contents. The Cooperative assumes no responsibility (and expressly disclaims responsibility) for updating the Coopportunity Cleaning Platform to maintain current information or to ensure the accuracy or completeness of any posted information. Accordingly, you should confirm the accuracy and completeness of all posted information before making any decision related to any products, services or other matters described in or available through the Coopportunity Cleaning Platform. The Cooperative provides no assurances that any reported problems will be resolved by the Cooperative, even if the Cooperative elects to provide information with the goal of addressing a problem.

ALL INFORMATION, SERVICES, PRODUCTS AND MATERIALS PROVIDED ON OR AVAILABLE THROUGH THE COOPPORTUNITY CLEANING PLATFORM ARE PROVIDED "AS IS" AND "WITH ALL FAULTS" WITH NO WARRANTIES OR GUARANTEES OF ANY KIND. THE COOPERATIVE EXPRESSLY DISCLAIMS TO THE FULLEST EXTENT PERMITTED BY LAW ALL EXPRESS, IMPLIED, STATUTORY OR OTHER WARRANTIES, GUARANTEES AND REPRESENTATIONS, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, TITLE AND NONINFRINGEMENT OF PROPRIETARY AND INTELLECTUAL PROPERTY RIGHTS, AND WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE OR TRADE PRACTICE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE COOPERATIVE MAKES NO REPRESENTATION OR WARRANTY THAT THE COOPPORTUNITY CLEANING PLATFORM, OR ANY SERVICES OR MATERIALS PROVIDED BY OR AVAILABLE THROUGH SAME, WILL MEET YOUR REQUIREMENTS OR THAT THE COOPPORTUNITY CLEANING PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR FREE OR THAT THE SERVICES WILL MEET (OR ARE DESIGNED TO MEET) YOUR REQUIREMENTS.

Indemnity

You will defend and indemnify the Cooperative and its licensors against any third party claim arising from or relating to: (a) your use of the Coopportunity Cleaning Platform; (b) your content (c) any infringement or misappropriation of any Intellectual Property Rights by you or users of your account; (d) violation of law by you; (e) your violation of these Terms, or (f) your use of any third party content. The Cooperative will (i) provide you with notice of such claim within a reasonable period of time after learning of the claim; and (ii) reasonably cooperate in response to your requests for assistance. You may not settle or compromise any indemnified claim without the Cooperative's prior written consent.

Limitation of Liability

IN NO EVENT WILL THE COOPERATIVE OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL, PUNITIVE OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOST PROFITS, REVENUES OR SAVINGS, LOSS OR DAMAGE TO DATA OR BUSINESS INTERRUPTION ARISING OUT OF THE USE OF OR INABILITY TO USE THE COOPPORTUNITY CLEANING PLATFORM OR ANY MATERIALS, INFORMATION, PRODUCTS OR SERVICES PROVIDED BY OR AVAILABLE THROUGH SAME, WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, STATUTE OR ANY OTHER LEGAL THEORY AND EVEN IF THE COOPERATIVE HAS BEEN ADVISED (OR SHOULD HAVE KNOWN) OF THE POSSIBILITY OF SUCH DAMAGES.

Severability

If any provision of these Terms becomes or is declared by a court of competent jurisdiction to be illegal, unenforceable, or void, the remaining provisions will remain in effect.

Governing Law

All matters relating to the Coopportunity Cleaning Platform and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of New York.

Exclusions and Limitations

The exclusion of certain warranties or the limitation or exclusion of liability for certain damages may not be authorized in some jurisdictions. Accordingly, some of the above disclaimers and limitations of liability may not apply to you. To the extent that the Cooperative may not, as a matter of applicable law, disclaim any implied warranty or limit its liabilities, the scope and duration of such warranty and the extent of the Cooperative's liability shall be the minimum permitted under such applicable law.

Violation of These Terms of Use

The Cooperative may, in its sole discretion and without prior notice, terminate your access to the Coopportunity Cleaning Platform and/or block your future access to the Coopportunity Cleaning Platform if we determine that you have violated these Terms or any other agreement between you and the Cooperative.

Changes to Terms of Use

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Coopportunity Cleaning Platform thereafter. Your continued use of the Coopportunity Cleaning Platform following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
